Article 1. Agreement to and Application of These Terms
 

1. The Tapi Online Japanese Language School website at https://www.tapi.tw/ (the “Website”) is operated by TAPI Ltd. (the “Company”).

2. By completing registration or using any service on the Website, you are deemed to have read, understood, and agreed to these Terms in full. If you do not agree, please do not register or use the Website.

3. Lesson purchases are also subject to the Lesson Service Agreement presented during checkout. In the event of a conflict, the Lesson Service Agreement takes precedence for matters relating to lesson services.
    

Article 2. Membership Registration
 

1. You must provide accurate, up-to-date personal information when registering and must not use another person's identity. Please update your information promptly if it changes.

2. Users under 18 may register and use the Services only after their legal representative has read, understood, and agreed to these Terms and the Website's Privacy Policy in full.

3. The Company may suspend or terminate your membership if you provide false information.
    

Article 3. Member Services
 

1. After registering, you may use the Website's member features, including viewing course information, booking trial lessons, receiving learning information and newsletters, and managing your learning records.

2. The Company may add, modify, or discontinue free member features to meet operational needs and will announce these changes on the Website.

3. The content, number of lessons, fees, use, refunds, and other rights and obligations relating to paid lessons are governed by the Lesson Service Agreement accepted at the time of purchase.
    

Article 4. Account and Password Management
 

1. You must keep your account and password secure and must not provide, lend, or transfer them to a third party.

2. Actions taken after logging in with your account and password are presumed to be your own.

3. If you discover that a third party is using your account or password unlawfully or improperly, you must notify the Company immediately. The Company must also act if it becomes aware of such use. Once confirmed, the Company will immediately suspend the account and help you change your account details or password.
    

Article 5. Member Conduct

When using the Website, you must not:
 

1. Intentionally distribute programs that interfere with the Website's normal operation, or access or damage its systems without authorization;

2. Publish text, images, or videos containing threats, defamation, invasions of privacy, pornography, or other content contrary to mandatory or prohibitive laws, public order, or good morals;

3. Use the Services under another person's identity, or collect, process, or use other members' personal data;

4. Use Website content for commercial purposes, or provide or resell the Services to third parties, without the Company's prior written consent;

5. Otherwise violate these Terms or applicable laws.
    

You are responsible for all legal consequences of violating these rules. The Company may terminate your membership for serious violations or if you fail to remedy a violation within the period specified in its notice. Purchased lessons will be settled according to the termination and refund provisions of the Lesson Service Agreement.

Article 6. Intellectual Property
 

1. Copyrights, trademark rights, and other intellectual property rights in the Website's teaching materials, handouts, audiovisual content, text, images, trademarks, and design belong to the Company or its licensors.

2. This content is provided solely for your personal, non-commercial learning. Without the Company's prior written consent, you may not reproduce, adapt, publicly transmit, distribute, rent, or use it for other purposes.

3. Recording a lesson requires prior consent from both the Company and the tutor. Recordings may be used only for your personal review and must not be shared publicly or uploaded to any platform.

4. By posting comments, reviews, or assignments on the Website, you authorize the Company to use them within a reasonable scope for operating and promoting the Services. The Company will appropriately credit your nickname when using them.
    

Article 7. Personal Data Protection

The Company collects, processes, and uses your personal data in accordance with the Privacy Policy published on the Website and Taiwan's Personal Data Protection Act. It will not disclose or use your personal data beyond the purposes for which it was collected.

Article 8. Service Suspension and Interruption
 

1. The Company may suspend all or part of the Services when relocating, replacing, upgrading, maintaining, or repairing related hardware or software and will announce the suspension on the Website seven days in advance. This notice requirement does not apply to unforeseen or urgent circumstances or events not attributable to the Company.

2. If the Services are suspended or interrupted by a natural disaster, extraordinary event, or other force majeure circumstance, the Company will restore them as soon as possible after the cause has ended.

3. Compensation for paid lessons affected by service suspension or interruption is governed by the Lesson Service Agreement.
    

Article 9. Limitation of Liability
 

1. The Website's free member features, excluding paid lessons, are provided as is. The Company does not guarantee that they will meet your specific purposes.

2. This provision does not affect the Company's liability under applicable law. The Company remains liable for damages caused by intentional misconduct or gross negligence, and these Terms do not waive that liability in advance.
    

Article 10. Changes to These Terms
 

1. The Company will announce amendments on the Website thirty days before they take effect and notify you by appropriate means, such as email or an on-site notification.

2. If you do not agree to an amendment, you may notify the Company during that period to terminate your membership. Continued use of the Services after the amendment takes effect constitutes agreement to the revised Terms.

3. Amendments to these Terms will not adversely alter rights and obligations relating to lessons already purchased. Any changes to those rights and obligations will be handled under the contract amendment provisions of the Lesson Service Agreement.
    

Article 11. Termination of Membership
 

1. You may terminate your membership at any time by notifying the Company.

2. If you have unused purchased lessons when your membership ends, they will be settled according to the termination and refund provisions of the Lesson Service Agreement.

3. After membership ends, the Company will retain or delete your personal data in accordance with the Privacy Policy and applicable laws.
    

Article 12. Governing Law and Jurisdiction
 

1. These Terms are governed by the laws of the Republic of China (Taiwan).

2. The parties agree that the Taiwan Taichung District Court has first-instance jurisdiction over disputes arising from these Terms. This does not exclude the application of Article 47 of the Consumer Protection Act or Article 436-9 of the Code of Civil Procedure concerning jurisdiction over small claims.
